Acceptance of Terms

By accessing or using any services provided by Ignite Innovations (the “Agency”), you agree to be bound by these Terms and Conditions.

Description of Services

The Agency provides digital marketing and social media services, including Content Creation, Influencer Marketing, Brand Building, and Social Media Strategy & Management, as outlined in the mutually agreed-upon service proposal or contract.

Client Obligations

The Client agrees to provide all necessary assets (logos, content, access credentials), information, and timely feedback or approvals required for the Agency to perform its services.

Payment and Billing

All fees and payment schedules are detailed in the service plan. Payments are due on the specified date (e.g., monthly in advance). Failure to make timely payments may result in the suspension or termination of services.

Termination of Service

Either party may terminate the agreement with written notice (e.g., 30 days), provided there is no outstanding breach. The Client is responsible for fees accrued up to the date of termination.

Intellectual Property Rights

The Client owns all final, delivered content and assets created and paid for under this agreement. The Agency retains ownership of its underlying tools, templates, processes, and methodologies.

Confidentiality

Both parties agree to treat all non-public business, financial, and proprietary information disclosed during the service term as confidential and will not disclose it to any third party without consent.

Limitation of Liability

The Agency’s total liability for any claim arising out of this agreement shall be limited to the total amount paid by the Client to the Agency for the specific service in question. The Agency makes no guarantee of specific results, such as follower count, sales, or revenue increases.

Indemnification

The Client agrees to defend and hold the Agency harmless from any claims, damages, or expenses (including legal fees) arising from the use of content or materials provided by the Client, including claims of copyright infringement or defamation.

Governing Law (California, USA)

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA. Any legal action or proceeding related to this agreement shall be brought exclusively in the appropriate court located in Visalia, California.
